TO FOLLOW PROCEDURES

VFW Dept. Of Texas District 20 Commander Jose Duran identify discrepancies in the Institution process, explaining the Post Election is “Void” and must be conducted again on 09/11/2019.

09/04/2017

Steve Mueller receives an email (Officer installation at VFW Post 12162) from VFW-TX District 20 Commander Jose Duran regarding inconsistencies in the 09/02/2017 “institution”,Transfer of Members and the Post-election also copied to Stephanie Pino, Rolando Webber, John E. Shipley, Larry L. Sanders and Edward C. Torres @ 4:56 PM stating; “you missed a few steps and will therefore need to elect officers once everyone is a member of the new post.”, “When a new member first comes into the VFW they have to take a Member's obligation stating they will abide by the Rules of the VFW. Also all transfers from another VFW Post are required to recite the Member Declaration in section 107 for Transfers found on page 62 of the By-laws. Since you did not perform those two steps, no one was a legal member of VFW Post 12162 and the election is void according to the bylaws. These things happen when individuals rush to perform a task they are unfamiliar with.”, “your actions resulted with a proposed slate of officers which will now have to be voted on prior to those officers being installed on Monday September 11, 2017.”, “please forward to me, a list of your proposed officers with their contact information. Also be prepared to fill out the officer Election Report that evening.” and “Please be aware that the District has been instructed by Department to attend your meetings for the first 6 months to help keep you on the track for success.”

Steve Mueller sends email (VFW/ New Charter Post in Pleasanton, Texas) Roy Grona and Daniel L. West @4:17 PM; “It was brought to my knowledge that there used to be a VFW post in the city of Pleasanton sometime in the past. Rather than be issued a new Post number from national; Is it possible to adopt the old number? That is, of course, if it is not currently being used? Paperwork status: I have ALL of the “new” members paperwork. Currently, I am awaiting additional documentation for two transfer members to submit with my package to Department. I have made it clear to the transfers that they must provide 214’s to be considered for Charter Membership. My objective is to have everything submitted NLT Wednesday. I have set that deadline to keep this moving forward. If the transfers in question have not submitted by then we will proceed with the minimums for formation.”

VFWP_02446a

EMAIL- (VFW/ New Charter Post in Pleasanton, Texas) Roy Grona responds to Mueller @ 5:46 PM; “Steve, Unfortunately, National will not use the old Post number. As Posts are closed, the numbers are recycled and used again. I will ask National to provide us with a Post number.”

VFWP_02446b

Steve Mueller sends email (VFW/ Pleasanton Post UPDATE/ Post number) meant to update Edward C. Torres, Larry L. Sanders and Jose Duran @ 5:05 PM; “Commander, Just an update on my progress. I have the 214’s and other supporting documentation for ALL of the “new” members. (25 total) as we discussed on Saturday at Post 76 I have had this documentation in my possession for some time. I have obtained documentation for 9 of the 11 transfers that are requesting to become Charter Members. The transfers are holding me up. I am currently waiting on 2 Transfers to submit their documentation. I have set a deadline of Wednesday (5th of July) for receiving all of the documentation. I only require one of the transfers to meet my minimum for formation. If one of these two fail to submit by the Wednesday deadline, I will proceed with another member from my reserve. Regardless, We will launch on Wednesday with 36 total (1 Gold Legacy, 6 Life Members and 30 “or” 31 annual members). I have already have an additional 18 “new” members and another 12 transfers that have already committed and will be added to our rolls after formation. If my math is correct, I should start with 36 and end the year with 66 members/ with a competitive183.33% membership rating at national for my division. Past VFW Post in Pleasanton It has been brought to my attention that Pleasanton had a VFW Post sometime in the past. Question…. If a VFW Post did exist in Pleasanton. Can I use that Post number for the new Post? It is my understanding that Post numbers are not recycled and once awarded remain in the system. If that is true and the number is available I would like to request it at this time. *I have emailed Dan West and Roy Grona concerning the availability of the existing number. Thank you for your attention in this matter.”

VFWP_02446c

EMAIL-VFW/ Pleasanton Post UPDATE/ Post number: Roy Grona responds to Mueller @ 10:26 AM; “We do not get a choice. Whatever is next in line is what we get. Since the last two New Posts were 5 digits, I expect a 5 digit Number.”

VFWP_02446d

EMAIL-VFW/ Pleasanton Post UPDATE/ Post number: Steve Mueller responds to Roy Grona @ 10:26 AM; “Ah- I guess I misunderstood. In your last email you stated they were “recycled and used again” I interpreted that to mean they were available. A 5-digit number will work fine.”

Steve Mueller sends an Email (VFW/ Pleasanton Charter/ Post Auxiliary) to Edward C. Torres and Roy J. Grona @ 2:21 PM; “Commander, CC. Roy Grona/ State Adjutant/ State Quartermaster. Post Auxiliary. According to the By-Laws. The formation of a Post Auxiliary can only be accomplished after a membership vote in which 2/3 must be in favor. It is important to accomplish the formation of the auxiliary quickly. The formation of the auxiliary must be accomplished very soon after the Post comes online. I view the auxiliary as a force multiplier. It is essential for the success of the Pleasanton Post as it will increase my capability by 3 times. Currently, I have already recruited 25 members for the auxiliary. I have selected a strong President that is well connected politically within the Pleasanton AOR. I do not wish to miss out on opportunities.  Beverly Duran/ D20 has already been contacted and agreed to assist in the auxiliary formation. -  In regards to a “new” post. Do I have to wait until formation of the VFW post to form the Auxiliary or can I do this at the same time?  *ALL of the charter members already agree this is a logical approach to increase our effectiveness.”

VFWP_02449

EMAIL- VFW/ Pleasanton Charter/ Post Auxiliary; Roy Grona responds to Mueller @ 06:04 PM; “You must wait until the Post is chartered.”

Roy Grona/ State Adjutant/ State Quartermaster Articles of Incorporation/ By-Laws. I am not new to business formation. As you know, I run another non-profit and three commercial businesses. However, I am not certain of the timeline. If there is a checklist, please email me a copy.

ARTICLES OF INCORPORATION. I have already accomplished the Articles of Incorporation - When Can I submit these to the state for entity formation? BY-LAWS. The By-Laws are going through their final legal review and should be ready within the next 30 days. I usually submit my by-laws during the submission process of the articles. - Is this how it is done with VFW Posts? - Does the By-Laws have to be reviewed by Department/ National prior to submission to the state of Texas? - Or are the By-Laws considered “in-house” use only? Thank you for your assistance.”

VFWP_02450

EMAIL- (VFW/ Pleasanton Charter/ Articles of Incorporation/ By-Laws) Roy J. Grona responded to Mueller @ 2:37 PM; “Steve, You must wait to incorporate until the Post charter is granted and the Post is mustered in. Your first steps after being mustered in are: 1. Apply for a FEIN through the IRS. Afterwards, you can apply for a Texas Comptroller number. 2. Incorporate as soon as possible using the template found on the National website (www.vfw.org). Submit the document to the Department along with a $25.00 check for filing fee. 3. You can do Post By-Laws but there is no requirement to have Post By Laws. If you do By-Laws, they must be forwarded to the Department HQ for review and then to National. We have been looking through the proof of eligibility that you sent. Many are quite a ways away from your location. Several do not have proof of eligibility. Dan will contact you with the individuals that he cannot verify eligibility. At muster, you must have at least 25 of the charter members must be present or the Post cannot muster in.”

Steve Mueller emails (VFW/ 12162- Articles of Incorporation) Roy Grona @ 10:02 AM; “Roy, In Pleasanton, on September 11th (Our Post installation date), the original set of signed articles were given to SC Torres/ SCOS Sanders by my adjutant (PSVC Pino) along with other required charter information. The articles that were submitted were the generic ones I received from Carlos (I believe the ones you referenced in your last email), the day in August I met with you and Dan to make sure I had everything we needed to proceed with the charter. The articles were signed by Myself, SVC & QM and were not altered in any way. I guess I should check on the status of those before I proceed any further. Or confirm if those where received or lost somewhere in this process? If you have them, you simply need $25.00 from us. If you don’t, then I will have to get with my staff to print and sign another set. Please advise.”
